1. Acceptance of Terms

By accessing or using FormJay ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

FormJay is an AI-powered document processing platform that enables users to:

• Upload and manage PDF form templates
• Extract data from documents using artificial intelligence
• Automatically fill PDF forms with extracted data
• Send documents for electronic signature via third-party services
• Attach source documents to generated PDFs

3. Account Registration

To use our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update any information that becomes inaccurate
• Accept responsibility for all activities under your account

4. Subscription and Payments

4.1 Credit-Based System

Our Service operates on a credit-based subscription model.

4.2 Billing

Subscriptions are billed monthly. You can customize your plan by selecting the number of credits you need. Payments are processed securely through Stripe.

4.3 Refunds

Unused credits do not roll over to the next billing period. Refunds are provided at our sole discretion and typically only for technical issues that prevented use of purchased credits.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Upload malicious files or content
• Attempt to circumvent security measures
• Resell or redistribute the Service without authorization
• Use the Service to process documents you don't have rights to
• Overload or interfere with Service infrastructure
• Scrape, mine, or extract data from the Service

6. Intellectual Property

6.1 Our Property

The Service, including its design, features, and content, is owned by FormJay and protected by intellectual property laws. You may not copy, modify, or distribute our proprietary technology.

6.2 Your Content

You retain ownership of documents you upload. By using our Service, you grant us a limited license to process your documents solely for the purpose of providing the Service.

7. Customer Data; FormJay as Processor

You (the account holder) are the controller of Customer Data. Customer Data means form templates, submission answers, uploaded files, filled and summary PDFs, tables, and other content your company or its respondents put into the Service. FormJay is the processor: we store and protect Customer Data in order to provide the Service, and we do not use it for our own purposes except as needed to operate, secure, and support the Service, or as required by law.

We store and protect Customer Data while your account is active. Builder-flagged sensitive fields are encrypted at rest. Access to those values by a user on your account is logged.

You may export your submission data at any time while the account is active, using the export tools in the Service (CSV, filled or summary PDF, and ZIP archives of selected or all submissions). Export is your copy. We do not become the system of record for your regulatory file.

Retention required by your own laws or policies is your responsibility. If you must keep records for a period longer than ours — including, without limitation, OSHA or other workplace records that can run 30 years — you must export and retain your own copies. FormJay's retention of Customer Data is not a substitute for your recordkeeping program and is not an archive for that purpose.

Cancelling your subscription is a downgrade: you keep access on the free tier and your data stays. Closing your account is different: your access is ended, your public forms and workflows stop being served, and your Customer Data is held for 30 days and then deleted. Export your data before you close, as you cannot sign in afterward.

Upon written request following account closure, we will permanently delete your Customer Data — including submissions, forms, templates, workflows, tables, and uploaded files — and destroy the company encryption key, rendering the encrypted field data unrecoverable going forward. Deletion is permanent and irreversible. A written request is processed within 7 days; in-product deletion runs immediately. Copies of signed documents held by our e-signature provider (SignWell) are outside this deletion.

This is separate from FormJay's privacy access log. When someone on your account reveals a sensitive field, archives a submission, or downloads an artifact containing a sensitive field, we write an access-log event. These events contain metadata only — timestamps, action types, and field identifiers — and contain no Customer Data. Copies of those events are retained in an append-only store for seven (7) years. That seven-year period is FormJay's record of who accessed sensitive Customer Data. It is not retention of the Customer Data itself, it does not satisfy your OSHA or other recordkeeping duties, and it is not a backup you can export as a substitute for CSV, PDF, or ZIP. Backup copies persist for our retention period. Database snapshots taken before key destruction may still contain the encryption key for approximately 120 days; snapshots taken afterward cannot decrypt the data. Retained file versions persist for 90 days and are not affected by key destruction.

8. AI Processing Disclaimer

Our Service uses artificial intelligence to extract and process data. While we strive for accuracy, AI systems may occasionally make errors. You are responsible for reviewing extracted data and generated documents before use. We recommend human verification for critical or legal documents.

9. Third-Party Services

Our Service integrates with some third-party providers (such as Stripe for payment processing and Signwell for e-signatures). Your use of these services is subject to their respective terms and policies. We are not responsible for the actions or policies of third-party providers.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORMJAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Indemnification

You agree to indemnify and hold harmless FormJay from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. You may cancel your subscription at any time through your account settings or the Stripe customer portal. Closing the account and requesting deletion of Customer Data are described in Section 7.

14. Modifications to Terms

We may update these Terms at any time by posting the revised Terms on this page and changing the Last updated date. Continued use of the Service after a change is acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by the laws of the State of Texas, United States, without regard to conflict of law principles.
